Die Veranstaltung baut auf der Veranstaltung Schuldrecht für Studierende der Wirtschaftswissenschaften aus dem Wintersemester auf. Die Kenntnis der Grundlage des Vertragsrechts werden also vorausgesetzt, um nun in das Gesellschaftsrecht einzuführen.
Um unternehmerisch tätig zu sein, ist vielfach ein Agieren im Verband ("mit vereinten Kräften") sinnvoll. Das Instrumentarium hierzu stellt das Gesellschaftsrecht ebenso zur Verfügung wie Möglichkeiten zum Wirtschaften mit beschränkter Haftung. Die Vorlesung stellt (im Vergleich der wichtigsten Gesellschaftsformen) die zentralen Strukturprinzipien des deutschen Gesellschaftsrechts vor und führt sodann in die Grundlagen des Personengesellschaftsrechts (Offene Handelsgesellschaft, Kommanditgesellschaft und Gesellschaft bürgerlichen Rechts) und Kapitalgesellschaftsrechts (Aktiengesellschaft, Gesellschaft mit beschränkter Haftung) ein.
