Die Vorlesung richtet sich an fortgeschrittene und Schwerpunktbereichsstudierende. Sie baut auf Ge-sellschaftsrecht I auf und setzt deshalb Kenntnisse über (personen)gesellschaftsrechtliche Grundzusammenhänge voraus. Diese werden mit einer einleitenden Musterung des Personenhandelsrechts getestet werden. Der Hauptteil der Veranstaltung liegt auf dem Kapitalgesellschaftsrecht und dort in erster Linie dem Recht der GmbH, der wichtigsten Unternehmensträgegesellschaft in Deutschland. Weiterer Hauptbestandteil der Veranstaltung ist das Recht der Aktiengesellschaft, die bis heute vornehmlich das ?Kostüm? für Großunternehmen liefert. Abschließend wird überblicksweise auch auf das Recht der Unternehmensverbindungen und das Umwandlungsrecht eingegangen.Literaturüberblick und Empfehlungen zu Beginn der Vorlesung.
